Welcome to DODA Smart. These Terms of Use (“Terms”) govern your access to and use of the dodasmart.mx website, the DODA Smart web platform, as well as its tools, features, software, and related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

DODA Smart is a brand and product of Freight Technologies, Inc., a publicly traded company listed on NASDAQ under the ticker symbol FRGT. References to “DODA Smart,” “we,” “our,” or “us” in these Terms refer to Freight Technologies, Inc.

1. Eligibility

To use the Service, you must:

  • Be at least 18 years old

  • Use the Service on behalf of a legitimate business, organization, or commercial entity.

The Service is designed exclusively for professional use within the logistics, international trade, and customs operations sectors.

You may not use the Service for personal, consumer, or non-commercial purposes.

2. Account Registration

To access certain features of the Service, you must create an account and provide accurate, complete, and up-to-date information.

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activity carried out under your account

  • Keeping your information updated as necessary

You must notify us immediately if you suspect unauthorized access or misuse of your account.

3. Service Description

DODA Smart is a digital platform designed to help logistics companies, international trade businesses, and customs brokers manage, monitor, and centralize information related to DODAs (Customs Clearance Operation Documents).

The Service may include, among other features:

  • Uploading and digitizing DODA documents

  • Automatic data extraction from PDF files or images

  • QR code scanning for documents

  • Status tracking and monitoring of operations

  • Alerts and notifications for status changes

  • Operational history and traceability

  • Dashboards with operational metrics and analytics

  • Access to information related to customs operations

DODA Smart may retrieve information from official platforms or public sources related to customs processes in order to facilitate operational tracking.

However, DODA Smart is not a government platform and is not officially affiliated with SAT, ANAM, or any other customs authority.

The information displayed depends on the availability of official systems and is provided for informational purposes only.

4. Fees and Payment

Some features of the Service may require payment of subscription or usage-based fees.

By subscribing to a plan or making a payment:

  • You authorize DODA Smart and its payment providers to process the applicable charges

  • Fees are non-refundable unless required by law or explicitly stated otherwise

  • We may change pricing or plans with prior notice

  • We may suspend access to the Service in the event of overdue payments or non-compliance

5. Use Restrictions

You agree not to:

  • Copy, extract, resell, or redistribute the Service or its data

  • Reverse-engineer or attempt to access the system’s source code or models

  • Use the Service to build competing products or platforms

  • Use bots, scrapers, or unauthorized automation

  • Misrepresent your identity, business, or affiliations

  • Use the Service for illegal, fraudulent, or abusive activities

We reserve the right to monitor use of the Service to ensure compliance with these Terms.

6. Data Upload and Submission

By uploading documents or information to the platform, you represent and warrant that:

  • You have the right to use and share such information

  • The information does not infringe third-party rights

  • The information complies with applicable laws

Uploaded documents may be automatically processed by the system to extract data and enable platform functionalities.

We may use anonymized or aggregated data to improve system functionality and platform performance.

7. Dependency on External Systems and Service Availability

Certain core functionalities of the Service depend on the availability, stability, and proper functioning of external systems, including, but not limited to, government platforms such as the Mexican Tax Administration Service (Servicio de Administración Tributaria, or “SAT”) and other related authorities.

DODA Smart does not control these external systems, nor their availability, response times, operational continuity, or the accuracy and integrity of the information they provide.

Accordingly:

  • If SAT systems or other external platforms experience downtime, interruptions, delays, or errors, some or all functionalities of the Service may be limited, delayed, or temporarily unavailable.
  • DODA Smart does not guarantee continuous, uninterrupted, or real-time availability of information obtained from such external sources.
  • DODA Smart shall not be liable for any delays, operational disruptions, data discrepancies, compliance issues, or any other impact on the user’s operations arising directly or indirectly from the unavailability or malfunction of external systems.

By using the Service, you acknowledge and accept this technological dependency and assume any risks associated with the availability of such external systems.

    8. Intellectual Property

    All software, algorithms, technology, design, trademarks, content, and visual elements of the platform are owned by Freight Technologies, Inc. or used under license.

    You are granted a limited, non-exclusive, non-transferable, and revocable right to use the Service in accordance with these Terms.

    You may not:

    • Copy or reproduce the Service

    • Modify the software

    • Decompile or reverse-engineer

    • Create derivative works based on the Service

    9. Disclaimer of Warranties

    The Service is provided “as is” and “as available.”

    We make no warranties, express or implied, regarding:

    • Accuracy of information obtained from external systems

    • Continuous availability of the Service

    • Suitability for specific business needs

    Use of the Service is at your own risk. In particular, we do not guarantee the performance of the Service where it depends on external systems beyond our control, including government platforms such as SAT.

    10. Limitation of Liability

    To the fullest extent permitted by law:

    • We shall not be liable for indirect, incidental, or consequential damages.

    • Our total liability arising from use of the Service shall not exceed the amount paid by you in the past 12 months

    Some jurisdictions may limit these exclusions, so certain provisions may not apply.

    11. Termination

    We may suspend or terminate your access to the Service if:

    • You violate these Terms

    • You use the Service in a fraudulent or unlawful manner

    • You fail to make required payments

    • Your use poses a security risk to the platform

    You may stop using the Service at any time.

    12. Changes to These Terms

    We may update these Terms from time to time.

    If we make material changes, we will publish the updated version with a revised “Last Updated” date.

    Continued use of the Service constitutes acceptance of the revised Terms.

    13. Governing Law

    These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

    Any disputes arising from use of the Service shall be resolved in state or federal courts located in Texas.
